Our terms
Last updated: 15 October 2026
These Terms of Service (“Terms”) govern your access to and use of our platform, available at www.thepath.ooo (the “Platform”), including any related applications, services, and features (collectively, the “Services”).
By accessing or using The Path, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Agreement Overview
1.1 Binding Agreement
These Terms form a legally binding agreement between you (“you”, “your”) and the path (“The Path”, “we”, “us”, “our”).
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.
1.2 Privacy and Data Protection (GDPR)
Your use of the Services is also governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679) and applicable Romanian data protection law.
By using the Services, you confirm that you have read the Privacy Policy and, where applicable, provide your consent to the processing it describes.
1.3 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
1.4 Changes to These Terms
We may modify these Terms at any time. When we do, we will post the revised Terms on this page and update the “Last updated” date above.
Non-material changes — such as clarifications, corrections, and structural edits — take effect when posted.
Material changes — including changes to fees, payment terms, cancellation rules, or to your rights and obligations — take effect no earlier than 30 days after we notify you, by email to your registered address and/or by a prominent notice within the Services.
Your continued use of the Services after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to a material change, you may close your account before the change takes effect; where you have prepaid for subscriptions or services you have not yet received, you may request a refund of the unused, prepaid portion on a pro-rata basis.
Changes do not apply retroactively to bookings already confirmed, or to disputes that have already arisen, before the effective date. We recommend that you review these Terms periodically.
2. The Services
2.1 Marketplace Model
The Path is an online marketplace that connects facilitators — and the venues, studios, and organisations they operate through (“Facilitators”) — with people who discover and book their offerings (“Participants”). We provide the technology platform; we do not provide the wellness, fitness, health, therapeutic, or event services listed on it.
Each booking creates a direct contract between the relevant Facilitator (or their legal entity) and the Participant. The Facilitator is solely responsible for their offerings — including descriptions, pricing, scheduling, qualifications, licensing, insurance, the conduct of sessions, health and safety, and compliance with applicable law. We act only as an intermediary and are not a party to the agreement between Facilitator and Participant.
2.2 Service Availability
We work to keep the Services available and reliable, but we do not guarantee that they will be uninterrupted, timely, secure, or error-free. We may suspend, withdraw, or restrict all or part of the Services for maintenance, security, or operational reasons.
2.3 Third-Party Services
The Services rely on third-party providers — including for payment processing, identity verification, hosting, email, and invoicing. Your use of those services may be subject to their own terms. We are not responsible for the acts, omissions, or content of third-party providers.
2.4 Beta Features
We may offer features that are experimental or under development. These are provided “as is”, may change or be withdrawn at any time, and may not work as intended.
3. Bookings and Payments
3.1 Bookings
Facilitators set and are responsible for their own offerings, including pricing, capacity, scheduling, and their own cancellation and refund policies. A booking is confirmed when payment (or an accepted alternative payment arrangement) is completed, subject to availability.
3.2 Fees
Use of the Services may be subject to fees. Participants pay the listed price plus a referral amount shown at checkout. Card payments are made directly to the Facilitator or space that created the offering (the “Creator”), through the Creator’s own account with our payment provider. Our platform fee and the referral amount are deducted automatically from each payment, and the payment-processing costs are charged to the Creator. The Path does not receive or hold the rest of the payment.
Where a Creator shares an offering’s revenue with other Facilitators or spaces, the Creator pays those shares directly. The Path shows each party what is owed but does not pay or guarantee those shares. Creators also pay any subscription and pay-as-you-go charges. The fees that currently apply are described within the Services and at the point of purchase. You agree to pay all fees applicable to your use of the Services.
3.3 Changes to Fees
We may change our fees, introduce new fees, or remove existing fees. Changes to fees are treated as material changes to these Terms and follow the notice mechanism in Section 1.4: we will give you at least 30 days advance notice before a fee change takes effect.
A fee change does not affect bookings already confirmed, or billing periods already in progress, before its effective date. Your continued use of the Services after a fee change takes effect constitutes your acceptance of the new fees. If you do not agree, you may stop using the affected paid Services and/or close your account before the change takes effect.
3.4 Payment Processing
Card payments are processed by our third-party payment provider and go to the Creator’s own account with that provider. We do not store your full card details. Where you choose an off-platform payment method offered by a Facilitator (for example, payment on arrival), payment is settled directly between you and the Facilitator, and the applicable platform fee may still be due to The Path. If a card payment is disputed with the card issuer, the disputed amount and the payment provider’s dispute fee are charged to the Creator’s account; the platform fee and the referral amount are not returned.
3.5 Cancellations and Refunds
Cancellation and refund outcomes are governed by the cancellation rules that apply to the booking, as surfaced in the Services at the time of booking and on the relevant terms page. Refunds, where due, are paid by the Creator through the original payment method and are calculated on the listed price: the platform fee, the referral amount and the payment-processing costs of your original payment are not refunded, so that neither the Creator nor The Path bears the cost of your cancellation. The same applies when a Creator refunds a payment in full. Nothing in this Section limits any mandatory statutory withdrawal or refund rights you have as a consumer under Romanian or EU law.
3.6 Taxes
You are responsible for determining and meeting your own tax obligations arising from your use of the Services. Facilitators are responsible for the correct invoicing and tax treatment of their own offerings.
3.7 Wellness Disclaimer
Offerings on The Path may involve physical, mental, and emotional activity and carry inherent risks. The Path does not provide medical, health, or therapeutic advice, and nothing in the Services is a substitute for professional advice. You are responsible for your own health and for deciding whether an offering is suitable for you; consult a qualified professional where appropriate. Facilitators may require you to accept additional waivers or health declarations.
4. User Responsibilities
4.1 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorised use.
4.2 Acceptable Use
You agree not to use the Services unlawfully; not to post or transmit harmful, abusive, harassing, deceptive, infringing, or otherwise objectionable content; not to impersonate others; not to interfere with or attempt to gain unauthorised access to the Services or their systems; and not to use the Services to circumvent fees or to misuse the booking, messaging, review, or referral features.
4.3 Facilitator Responsibilities
If you operate as a Facilitator, you are additionally responsible for holding the qualifications, licences, and insurance required for your offerings, for the accuracy of your listings, for delivering the offerings you publish, and for complying with all laws applicable to your activity.
5. Data Protection (GDPR)
We process personal data under the legal bases set out in our Privacy Policy — including performance of a contract, compliance with a legal obligation, legitimate interests, and consent. You have the rights of access, rectification, erasure, restriction, portability, and objection, and the right to lodge a complaint with a supervisory authority, as described in the Privacy Policy.
6. Intellectual Property
The Path, its software, design, and content (excluding user content) are owned by us or our licensors and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You retain ownership of the content you submit, and you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, and distribute that content to the extent necessary to operate and promote the Services.
7. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access — in whole or in part, with or without notice — if you breach these Terms, if your use poses a risk to other users or to the Services, or as required by law. Provisions that by their nature should survive termination (including fees due, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
8. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant the conduct, qualifications, or offerings of any user. This Section does not exclude any warranty or right that cannot be excluded under applicable Romanian or EU law, including mandatory consumer protection rights.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
The Path acts solely as an intermediary marketplace. We are not a party to the agreement between Facilitators and Participants, do not provide the offerings listed on the Platform, and are not responsible for the conduct, acts, omissions, qualifications, content, or services of any user.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Services or these Terms.
Our total aggregate liability to you for all claims arising out of or relating to the Services or these Terms is limited to the greater of (a) the total fees you paid to The Path in the 12 months preceding the event giving rise to the claim, or (b) EUR 100.
Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable Romanian or EU law, including your mandatory rights as a consumer.
10. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless The Path and its officers, employees, and agents from any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Services, your content, or — if you are a Facilitator — your offerings.
11. Governing Law
These Terms are governed by the laws of Romania and applicable EU law, without regard to conflict-of-law principles. Where you use the Services as a consumer, you also benefit from any mandatory protections of the law of your country of residence.
12. Dispute Resolution
We encourage you to contact us first so we can try to resolve any issue informally. If a dispute cannot be resolved, it will be subject to the competent courts of Romania, without prejudice to any mandatory right you have as a consumer to bring proceedings in the courts of your country of residence. Consumers in the EU may also use the European Commission’s Online Dispute Resolution platform.
13. Miscellaneous
These Terms, together with the Privacy Policy and any terms referenced within the Services, constitute the entire agreement between you and The Path regarding the Services. If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
